1. Agreement to Terms

By accessing or using the United Fabric portal and related services (the "Service") operated by United Fabric International ("we," "our," or "us"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not use the Service.

2. Eligibility

The Service is intended for business use. You must be at least 18 years old and have the authority to enter into this agreement on behalf of yourself or your organization. You represent that the information you provide during registration is accurate and complete.

3. Account Registration and Security

You must create an account to access certain features. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You agree to notify us immediately of any unauthorized use. We may use verification codes sent via SMS to your phone number to authenticate your identity and secure your account. By providing your phone number and requesting a verification code, you consent to receive such transactional messages.

3a. SMS Verification Program

Program name: United Fabric Account Verification

Description: United Fabric International sends one-time verification codes via SMS to users who request them for account login, registration, or password reset. These are transactional messages only—we do not send marketing or promotional SMS.

Message frequency: Messages are sent only when you request a verification code (e.g., by clicking "Send verification code" or "Forgot password"). Typical frequency is 1–3 messages per request. We do not send recurring or automated marketing messages.

Message and data rates: Standard message and data rates may apply from your carrier. Check with your wireless provider for details.

Opt-out: Reply STOP to any message to opt out of verification SMS. Reply HELP for assistance or contact support@unitedfabric.com. After opting out, you may need to use password-based login instead of SMS verification.

4. Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these terms. You may not:

• Violate any applicable laws or regulations
• Infringe on the intellectual property or rights of others
• Transmit malware, spam, or harmful content
• Attempt to gain unauthorized access to the Service or other accounts
• Use the Service for any fraudulent or deceptive purpose
• Resell or redistribute fabric samples or content without authorization
• Interfere with or disrupt the Service or its infrastructure

5. Orders and Transactions

Orders placed through the Service are subject to acceptance by us. We reserve the right to refuse or cancel orders for any reason, including pricing errors, availability, or suspected fraud. Prices and availability are subject to change. Payment terms are as agreed between you and United Fabric. You are responsible for all applicable taxes and duties.

6. Intellectual Property

The Service, including its design, content, fabric images, specifications, and software, is owned by United Fabric International or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent. You retain ownership of any designs or content you create within the Service, but grant us a license to use such content as necessary to provide the Service.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. FABRIC COLORS AND APPEARANCE MAY VARY FROM ON-SCREEN DISPLAYS. WE ARE NOT LIABLE FOR ANY RELIANCE ON IMAGES, SPECIFICATIONS, OR DESCRIPTIONS PROVIDED ON THE SERVICE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNITED FABRIC INTERNATIONAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless United Fabric International and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these terms, or your violation of any rights of another.

11. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause or notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnification) shall survive termination.

12. Modifications

We may modify these Terms and Conditions at any time. We will notify you of material changes by posting the updated terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated terms. If you do not agree to the modified terms, you must stop using the Service.

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of New York.
